Terms of Service — SKU Surf

These Terms of Service ("Terms") govern your access to and use of SKU Surf ("the App," "we," "our," or "us"), a Shopify App Store application operated by Raj Patel, a sole proprietor based in Minneapolis, Minnesota, USA. By installing or using the App, you ("Merchant," "you," "your") agree to be bound by these Terms.

1. Description of Service

SKU Surf is a competitor price monitoring tool for merchants operating on the Shopify platform. The App:

  • Monitors publicly available competitor product pricing from third-party retail sites, including major marketplaces, iHerb, GNC, Walmart, specialty supplement retailers, and direct-to-consumer brand stores.
  • Uses publicly available product data endpoints (including, where available, public /products.json APIs that websites expose for external consumption) and scraping of publicly accessible product pages.
  • Displays competitor pricing data to you inside your Shopify admin for competitive intelligence purposes.
  • Does not rewrite your Shopify catalog, does not import competitor products as your own, and does not send your data to other merchants.

2. Scraping Disclosure

The App accesses publicly available pricing data from third-party retail sites using automated means. We access only publicly displayed product information (pricing, availability, product title). We do not:

  • Attempt to bypass login walls, paywalls, or access-controlled content
  • Access private APIs or seller-only data
  • Scrape at rates that meaningfully impact target site performance
  • Resell, redistribute, or aggregate scraped data across our merchant base as a separate data product

You acknowledge that third-party retail sites may have Terms of Service that restrict scraping, and that the legal landscape around publicly accessible data is evolving. Your use of the App constitutes your acknowledgment that the App relies on scraping-based data collection, and that you consent to the App performing such scraping on competitor URLs that you provide.

3. Eligibility and Account

To use the App, you must:

  • Operate a Shopify store in good standing
  • Have the authority to install applications and agree to these Terms on behalf of your business
  • Not be subject to Shopify App Store restrictions that prohibit app installations

The App is offered through the Shopify App Store, and your identity is established by your shop domain. We do not maintain separate user accounts.

4. Subscription, Billing, and Trial

Pricing: The App is offered as a single Professional plan at $39/month via the Shopify Billing API.

Trial period: An eligible merchant receives one 14-day free trial on the initial qualifying installation. Reinstalling the App does not restart a consumed trial. We retain a pseudonymous trial-entitlement record for up to 24 months to enforce this rule. No charges are incurred during an eligible trial.

Billing: All billing flows through Shopify's Billing API. We do not process payment information directly. Your Shopify bill shows the SKU Surf app subscription and any taxes Shopify is required to collect. Shopify separately deducts its app-processing fee from the developer's earnings; that developer fee is not an additional SKU Surf charge to you.

Auto-renewal: Subscriptions auto-renew monthly at the rate shown on your Shopify Billing page at the time of subscription. You may cancel at any time by uninstalling the App from your Shopify admin.

Refunds: Refund requests are handled on a case-by-case basis; contact us within 14 days of a charge to request a refund.

Plan changes: The App currently offers one pricing plan. If additional plans are introduced, plan changes will be handled through Shopify Billing before those plans are offered.

5. Merchant Obligations

You agree:

  • Not to use the App for any unlawful purpose
  • Not to reverse-engineer or redistribute the App or its scraped data
  • To provide only competitor URLs that you have a legitimate competitive interest in monitoring
  • Not to use the App to scrape sites where you have been explicitly prohibited from doing so
  • To comply with all applicable laws, including but not limited to data protection regulations (GDPR, CCPA, etc.) and consumer protection laws in your jurisdiction

6. Intellectual Property

Our IP: The App, its source code, dashboard UI, matching algorithms, AI URL discovery functionality, and aggregated analytics are the intellectual property of Raj Patel (sole proprietor). You receive a limited, non-transferable license to use the App during your subscription.

Your IP: Your product catalog data, your chosen competitor URLs, and any configuration you provide remain your intellectual property. We use this data only to operate the App for your benefit.

Scraped data: Publicly displayed competitor pricing we surface to you is not proprietary to us; we make no representation that you have exclusive rights to redistribute it, and we make no representation that the original third-party sites have consented to your or our access.

7. Data Handling

Data collection, storage, and deletion are governed by our Privacy Policy at /privacy. Key points:

  • We collect minimum-necessary shop and catalog data via Shopify OAuth
  • We save Shopify's shop email as the initial alert recipient; an authorized merchant can change it in the App
  • We do not collect end-customer personal data from your store
  • Shopify sends the shop/redact webhook 48 hours after uninstall; we complete deletion within 30 days after receiving that request
  • We may retain non-identifying global totals and HMAC-pseudonymous entitlement, usage, and deletion-receipt controls for up to 24 months; these contain no raw shop domain, catalog, URL, contact detail, or access token
  • We respond to GDPR data-request and redaction webhooks per Shopify's compliance schedule

8. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, scraping-vendor outages, target-site anti-bot action, and Shopify platform issues may cause temporary degradation. Contact us if the App is unusable for more than 24 hours and we will work to restore service and prorate your billing as appropriate.

9. Limitation of Liability

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We are not liable for indirect, incidental, consequential, or punitive damages arising from your use of the App.
  • Our total liability to you for any claim arising from these Terms or your use of the App is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not liable for pricing decisions you make based on competitor data surfaced by the App, nor for any business outcomes (positive or negative) from those decisions.

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless Raj Patel (sole proprietor, operator of the App) from any claims, damages, or expenses arising from:

  • Your use of the App in violation of these Terms
  • Your violation of any law or third-party right
  • Competitor URLs you provide that you did not have a legitimate competitive interest in monitoring

11. Third-Party Services

The App relies on third-party services to operate, including Shopify (platform and billing), Supabase (database), Render (hosting), Proton Mail or another configured SMTP provider (alerts and pseudonymous deletion evidence), Hetzner (scraper infrastructure), Smartproxy/Decodo or Bright Data (scraping infrastructure), Keepa (historical price data where applicable), and Perplexity (competitor URL discovery). Each has its own terms and privacy practices. We are not responsible for outages or policy changes at these providers.

12. Termination

By you: You may terminate at any time by uninstalling the App from your Shopify admin. Shopify's uninstall webhook triggers cancellation of your subscription with no further charges.

By us: We may suspend or terminate your access if you violate these Terms, if Shopify instructs us to, or if we discontinue the App. We will provide reasonable notice (30 days) for non-violation-related termination.

Data deletion on termination: Within 48 hours of uninstall, Shopify normally sends the shop/redact webhook. We delete merchant-identifying and shop-scoped service data within 30 days of receiving the request. Non-identifying global totals and the limited HMAC-pseudonymous controls described in the Privacy Policy may remain for their stated retention periods.

13. Changes to These Terms

We may update these Terms as the App evolves. Material changes will be announced via the App's dashboard and/or by email to the contact on file at Shopify. Continued use after changes take effect constitutes acceptance.

14. Dispute Resolution

Informal resolution: Contact us first at the support email below; we aim to resolve disputes without formal proceedings.

Governing law: These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict-of-laws principles.

Venue: Any formal disputes will be resolved in the state or federal courts located in Hennepin County, Minnesota, and you consent to personal jurisdiction and venue there.

Class action waiver: You agree to resolve disputes with us only on an individual basis and not as part of any class or representative action.
